Governance monitors or market rebels? Heterogeneity in shareholder activism

Agency theory is the dominant theory of shareholder activism and argues that activist investors function as external governance monitors. Agency theory predicts that activist investors will tend to target firms who exhibit governance and performance problems. However, given limited resources and time, activist investors must often decide between selecting targets with particularly strong agency and performance problems and those where their activism efforts are most likely to succeed. Social movement scholars point out that, in social movement contexts, the corporate opportunity structure affects when and where activism is likely to arise. We draw on insights from social movement scholarship and agency theory to advance a theory of heterogeneity in shareholder activism. We argue that an activist’s access to power and resources shapes its target selection, particularly the activist’s preference for targeting firms with greater agency problems or where contextual factors favor chances of success. Whereas more powerful activists are able to wield their power as effective governance monitors against firms with substantial agency problems, less powerful activists must strategically select targets of opportunity by choosing firms where contextual factors improve their odds of success. We test these propositions using an innovative relational approach that can simultaneously incorporate firm traits, activist identities, and endogenous dynamics.

This paper deals with research in a computer simulation of the manufacturing processes. This article propose a platform for final users when doing experiment with a processes simulation models. The propose platform is called “user friendly”. A module for a final users is not universal but is a midi-universal. The midi-universal module cooperates with the computer simulation software, especially for this experiment has been used software called “Witness”. A platform for multi-criteria analysis is made in a Visual Basic software.

Proyek konstruksi jalan adalah contoh dari proyek linear, dimana terdiri aktivitas – aktivitas yang berulang dari unit yang satu ke unit berikut. Oleh karena itu tipe proyek ini butuh perencanaan penjadwalan yang tepat. Linear Scheduling Method (LSM) adalah teknik penjadwalan yang tepat untuk menjadwalkan unit – unit aktivitas proyek linear secara berkesinambungan sehingga terhindar dari idle time. Pada penelitian ini dilakukan pembuatan software LSM yang dapat menjaga kesinambungan kelompok kerja, disamping itu dapat menjadwalkan aktivitas – aktivitas agar terjadwal berdasarkan urutan yang ditentukan. Studi kasus proyek jalan digunakan pada penelitian ini untuk menguji software yang dibuat. Pembuatan software LSM menggunakan bantuan Visual Basic Software pada Microsoft Excel. Software yang diimplementasi pada proyek jalan menunjukkan kemampuan software yang dibuat untuk menghasilkan durasi proyek tanpa adanya idle time pada perpindahan kelompok kerja dan menjaga hubungan ketergantungan antar aktivitas.
